By accessing or using Activ360 services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date above. Your continued use of the services after such modifications constitutes your acceptance of the revised Terms.

Activ360 provides a cloud-based hospitality management platform that helps hotels, restaurants, bars, and other hospitality businesses streamline their operations, manage revenue, and enhance guest experiences.

Our services include, but are not limited to:

• Property and operations management tools
• Revenue optimization and analytics
• Guest management and communication features
• Reporting and business intelligence dashboards
• Integration with third-party services and systems

To access certain features of our services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit malicious code or interfere with service operations
• Attempt to gain unauthorized access to any systems or data
• Engage in any activity that disrupts or interferes with our services
• Use automated means to access our services without authorization
• Collect user information without consent

All content, features, and functionality of our services—including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof—are the exclusive property of Softiris Africa Limited and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose. This license does not include any right to:

• Modify or copy our materials except as necessary for authorized use
• Use any content for commercial purposes without written consent
• Reverse engineer or attempt to extract source code from our software
• Remove any copyright or proprietary notices from our materials

Certain services require payment. By subscribing to paid services, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate billing information
• Authorize us to charge your payment method for recurring subscription fees
• Understand that fees are non-refundable except as required by law or stated in our refund policy

We reserve the right to change our pricing with 30 days notice. Price changes will not affect current subscription periods.

To the maximum extent permitted by law, Softiris Africa Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or similar harmful components transmitted through our services

You agree to indemnify, defend, and hold harmless Softiris Africa Limited, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third party rights
• Any content you submit or transmit through our services

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use our services will immediately cease. If you wish to terminate your account, you may do so by contacting our support team.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Lagos State, Nigeria.
